1. Introduction

Welcome to Taout! These Terms and Conditions ("Terms") govern your access to and use of Taout's services, website, mobile applications, and related functionalities (collectively, "Services"). By accessing or using Taout's Services, you agree to comply with and be bound by these Terms. If you do not agree, please do not use the Services.

2. Acceptance of Terms

By creating an account or using Taout in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any other applicable terms and guidelines. If you are using Taout on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

3. Modifications to Terms

Taout may revise these Terms periodically. If changes are material, we will provide notice (e.g., via email, platform notification, or website banner). Continued use of Taout after such notice constitutes acceptance of the updated Terms.

4. Account Registration and Management

a. Account Creation: To access certain Taout features, you must register and provide accurate, current, and complete information.

b. Account Security: You are responsible for maintaining the confidentiality of your credentials and for any activity under your account. Notify us immediately of unauthorized access.

c. Termination: Taout reserves the right to suspend or terminate accounts for violating these Terms or for other lawful reasons. Upon termination, access to the Taout Services will cease.

5. Eligibility and Use of Platform

You must be at least 13 years old to use Taout. If you are under 18, you may only use Taout under the supervision of a parent or legal guardian. By using Taout, you confirm you meet these requirements.


You agree not to:

Harass, threaten, or defame others;

Post illegal, obscene, or harmful content;

Use the platform for unlawful purposes;

Use automated systems (e.g., bots, scrapers) without permission

Infringe on third-party rights (intellectual property, privacy, etc.).

6. Prohibited Activities

You agree not to engage in any of the following while using Taout:


• Use the Services for any illegal, fraudulent, or unauthorized purpose


• Post, share, or distribute content that is unlawful, obscene, pornographic, defamatory, abusive, threatening, or otherwise objectionable. Content intended for mature audiences must be clearly labeled and must comply with all applicable laws and platform guidelines. Taout reserves the right to remove or restrict access to any content deemed unsuitable for users under 18, regardless of labeling.


• Harass, stalk, or harm another person or group


• Impersonate any person or entity or misrepresent your affiliation


• Upload or transmit viruses, malware, or other harmful code


• Use automated scripts, bots, or scrapers without express authorization


• Attempt to gain unauthorized access to any part of the platform, server, or systems


• Interfere with or disrupt the integrity or performance of the Services


• Post content that infringes on intellectual property or privacy rights


• Violate any applicable law or regulation in the jurisdiction of the user


Taout reserves the right to investigate and take appropriate legal action against anyone who, in our sole discretion, violates these terms, including reporting to law enforcement authorities.

7. Content and Intellectual Property

a. Your Content


You own what you create. When you post content on Taout, you keep full ownership. That said, to make the platform work, you grant us and other users certain rights to use your content as part of the Service.


By uploading or sharing anything on Taout, you give us a global, non-exclusive, royalty-free license to use, display, reproduce, distribute, adapt, and promote that content, on Taout and in connection with our business, including future versions of the platform and promotional efforts. This license allows us to show your podcasts, replay them, and make them available in features like archives, feeds, and highlights.


You also allow other users to view and interact with your content through Taout. This includes the right to play, share, and engage with your content through features like comments, embeds, or playback. This license applies only within the bounds of the Service and does not allow users to use your content elsewhere.


If you delete your content, these licenses continue for a commercially reasonable period of time. We may keep backup copies on our servers for legal or technical reasons, but they won’t be shown or used unless necessary.


Taout may monetize content on the platform, this could include running ads on your videos or charging access fees. By using the platform, you acknowledge that Taout has this right. These Terms do not guarantee you payment. Any separate agreements regarding monetization or revenue sharing will outline your compensation.


We will comply with applicable tax laws and withhold where required.


b. Taout’s Intellectual Property


Everything else on the platform, software, branding, design, and tools, is Taout’s. You may not copy, distribute, or reuse any part of it without our written permission or unless a feature of the Service allows it.

8. User Responsibilities and Content Guidelines

You are responsible for your own content. Do not post anything on Taout that is intentionally false, misleading, or that violates applicable laws. Taout reserves the right to remove content and suspend users who violate these guidelines.


User Device Permissions and Risks

By choosing to download content from the Taout platform, you may be prompted to grant device-level file access. This permission is used solely to complete the download. You acknowledge that Taout does not access, collect, or browse personal files. Downloading user-generated content is done at your own risk, and Taout disclaims any responsibility for resulting harm or damage.


Evidence Board Download Disclaimer

The Taout Evidence Board allows users to share files, images, documents, and links as part of live discussions. These materials are user-generated and not reviewed, verified, or endorsed by Taout.

By choosing to download content from the Evidence Board, you acknowledge that you do so at your own discretion and risk. Taout makes no guarantees regarding the safety, accuracy, authenticity, or integrity of these files.


We recommend users take appropriate precautions, such as:

• Scanning files with antivirus or malware detection software before opening

• Avoiding downloads from unknown or untrusted sources

• Using discretion before opening or interacting with downloaded materials


Taout is not liable for any damage, data loss, or harm that may result from user-initiated downloads.

9. Advertising and Third-Party Services

Taout may display ads from third-party vendors (including Google). These vendors may use cookies, device identifiers, or similar technologies to serve personalized ads based on your interactions. For more information, see: https://policies.google.com/technologies/partner-sites.

10. Children’s Privacy and COPPA Compliance

Taout is not directed to children under 13. We do not knowingly collect personal data from children. If Taout becomes aware of such data, it will be deleted. Users under 18 must have guardian consent.

11. User Rights (GDPR, CCPA, etc.)

Depending on your location, you may have rights regarding your personal data, including:

Access, correction, and deletion of data;

Data portability;

Objection to data processing;

Opt-out of data sale (if applicable under CCPA).

12. Electronic Communication Consent

By using Taout, you agree to receive electronic communications, including notices and disclosures. These will satisfy any legal communication requirements.

13. Disclaimer of Warranties

As-Is Basis: Taout is provided on an "as is" and "as available" basis. We make no warranties, express or implied, regarding the platform's operation or content. Taout disclaims all warranties, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

14. Limitation of Liability

To the extent allowed by law, Taout and its affiliates will not be responsible for any indirect, incidental, or consequential damages arising from your use of the platform. Our total liability, if any, will be limited to $100 or the total amount you paid us in the 12 months prior to the event giving rise to the claim, whichever is greater.

15. Indemnification

You agree to indemnify, defend, and hold harmless Taout, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with your access to or use of the platform, your violation of these Terms, or your infringement, or infringement by any other user of your account, of any intellectual property or other right of any person or entity.

16. App Store Compliance

You agree to use Taout in compliance with the rules of any app store or platform through which the Services are distributed, including the Apple App Store and Google Play Store. If any portion of these Terms conflicts with platform rules, those platform rules shall prevail with respect to app access or in-app behavior.

17. Governing Law

Taout's Terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Los Angeles County, California.

19. Severability and Waiver

If any provision is found unenforceable, the rest remain in effect. Failure to enforce a provision does not waive Taout's right to do so later.

20. Assignment

You may not assign your rights under these Terms without Taout's consent. Taout may assign our rights without restriction.

21. Entire Agreement

These Terms constitute the entire agreement between you and Taout regarding the Services.
